ARTICLE I -- NAME

 

The name of this organization shall be the Southwest Washington Activities Association of District 4 of the Washington Interscholastic Activities Association.  

ARTICLE II -- PURPOSE

The purpose of this organization shall be to supervise and coordinate interscholastic activities in Southwest Washington District 4, to provide an opportunity for the exchange of ideas, and to promote the educational interests and activities of students in District 4 and the State of Washington.

 

ARTICLE III -- MEMBERSHIP

 

      Membership in the Southwest Washington Activities Association shall be open to all schools in Southwest Washington District 4, as designated by the Washington Interscholastic Activities Association (WIAA). Membership is open to all configurations sixth grade through twelfth grade.

 

ARTICLE IV -- EXECUTIVE BOARD

 

1.            The Executive Board  (voting membership) of this organization shall consist of representatives from the following:

 

1.1.             WIAA Executive Board Member:  If necessary, an additional alternate delegate will be elected annually at the September meeting by the Executive Board and will have full voting privileges in the absence of a regular delegate.

1.2.             WIAA Executive Board Member (1)

1.3.             Superintendents from ESD 112 and 113 (2)

1.4.             WSSDA Directors from Area 5 and Area 6 (2)

1.5.             1B Classification (2) One of which is the Representative Assembly member

1.6.             2B Classification (2) One of which is the Representative Assembly member

1.7.             1A Classification (2) One of which is the Representative Assembly member

1.8.             2A Classification (2) One of which is the Representative Assembly member

1.9.             3A Classification (3) One of which is the Representative Assembly member

1.10.          4A Classification (3) One of which is the Representative Assembly member

1.11.          Fine Arts (2)

1.12.          Athletic Directors (1)

1.13.          Eligibility Committee (1)

1.14.          Dance/Drill/Cheerleader (1)

1.15.          Junior High/Middle School (3) Two of which are Representative Assembly members.

 

2.            The representatives from the ESD superintendents, Washington State School Directors Association, fine arts committee, junior high/middle level schools and the high school leagues will be elected by their respective groups to terms of at least two (2) three (3) years under the following schedule:

1.            Sixty per cent of the voting delegates (excluding Superintendents and WSSDA delegates (4)) will constitute a quorum required for conducting and voting on Association business.

 

1.1.             Meeting attendance. All Executive Board Members who do not plan to attend a regularly scheduled meeting of the Executive Board must notify  the District Secretary at least five days in advance of the scheduled meeting in order to be excused.  (Except in the case of emergency).   Two unexcused absences in one Association year will terminate the member's term on the Board and will leave the organization he or she represents without a voice in the affairs of the Association for the remainder of that Association year.  WSSDA Representatives are exempt from the above.

 

2.            The WIAA Representative Assembly delegates from the high school division shall be nominated  from their classifications with final selection made by the Executive Board.  The terms of office will be for a three (3) year period with no more than two (2) consecutive terms permitted.  A  replacement schedule will be set as follows:

2.3.             3A and Junior High/Middle School – 2005,2008,2010

 

3.            All meetings of the Executive Board shall be conducted in accordance with ROBERT'S RULES of ORDER

 

4.            The Executive Board shall select a Secretary/Treasurer

 

5.            The Secretary/Treasurer will receive a salary to be determined annually by the Executive Board

 

 

ARTICLE V -- DUTIES OF THE EXECUTIVE BOARD

 

1.            The duties of the Executive Board shall be:

 

1.1.             The supervision of District Activities

1.2.             Make decisions on League alignment and realignment

1.3.             General planning for all meetings

1.4.             Supervision of all District finances

1.5.             Make final decision on matters concerning District 4 activities

1.6.             Disseminate information to member schools

1.7.             Appoint standing committee and other committees

 

2.            At the May meeting, the members of the Executive Board shall elect a President and President-elect from the District IV Executive Board membership by rotation and classification.  The officers will assume their duties at the September meeting.

 

2.1.             The duties of the President shall be:

2.1.1.        To preside over Executive Board meetings

2.1.2.        To call meetings as necessary

2.1.3.        To appoint committees as necessary

2.1.4.        To assume any other duties as directed by the Executive Board

2.2.             The duties of the President-elect  shall be:

2.2.1.        To assume the duties of the President in the absence of the President

2.2.2.        To assume the duties of the Secretary/Treasurer in the absence of the Secretary/Treasurer

2.2.3.        To assume the duties as directed by the President of the Executive Board

 

3.            The members of the Executive Board shall act as chairman of the athletic committees representing the various classifications.

 

ARTICLE VI -- MEETINGS

 

1.         District meeting dates will be determined by the Executive Board

 

2.         Each Representative is responsible for calling meetings for his/her group and for communication of information from the District 4 Board.  Minutes from each meeting will be sent to the District 4 Secretary/Treasurer.

 

ARTICLE VII -- FINANCES

 

1.         Membership fees shall be established by Executive Board action based on classification.  High School fees shall be determined by the WIAA classification.

 

2.         Special assessment may be levied by the Executive Board after a review of the projected yearly expenses.

 

3.         The Association Fiscal year shall be from August 1 to July  31st

 

ARTICLE VIII -- ELECTIONS AND VOTING

 

1.         Elections of Representatives to the Executive Board, as provided in Article IV, shall be held by their classifications in the spring with the elected representatives taking office at the September meeting.

 

2.         Provision must be made for all members of each sub-group to vote when electing their representative(s) to the Executive Board.

 

3.         The WIAA delegates will be nominated by the various classifications and selected by the Executive Board in the May meeting and will take office at September meeting.

 

4.         The Executive Board may call a general meeting of all member schools, at such a meeting each member school shall be entitled to one vote.  Issues pertaining to a certain classification may be voted on only by members in that classification.  A member school outside the specific classification may request permission to vote by showing cause.  Decisions on voting

            privilege shall rest with the chairperson whose decision may be overridden by a majority vote of members present.

 

ARTICLE IX -- AMENDMENTS

 

1.         This constitution may be amended at any regular meeting by a sixty per cent majority of the votes provided that a written copy of the proposed amendment has been presented to the Secretary/Treasurer not less than 30 calendar days prior to the meeting; and provided  further that it shall be the duty of the Secretary/Treasurer to provide each member school with a copy of the proposed amendments at least 14 calendar days prior to the meeting at which it is to be offered.

 

2.         The Executive Board shall review all amendments as to disposition for voting purposes.

 

ARTICLE X -- ORGANIZATION

 

This Organization is organized exclusively for religious, charitable, scientific, literary, or educational purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code.

 

 

 

ARTICLE XI -- INTERNAL REVENUE CODE

 

Notwithstanding any other provisions of these articles, the organization shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under Section 501 (c) (3) of the Internal Revenue Code.

 

ARTICLE XII -- DISSOLUTION

 

Upon the winding up and dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to a non-profit fund, foundation or corporation which has established it's tax exempt status under Section 501 (c) (3) of the Internal Revenue Code or to a state or local government where the assets shall be used for public purpose.

 

ARTICLE XIII -- CONFLICTS

 

Any provision of the SWAA Constitution shall not supersede the WIAA rules and regulations.  In case of any conflict, the WIAA Handbook will take precedence.

 

 

ARTICLE XIV  -- BY-LAWS

 

By-Laws of the Constitution may be revised by a sixty per cent majority vote of members present at any regular Executive meeting.
